Terms & Conditions
The German version of these Terms is binding (§1 AGB). This English translation is provided as a courtesy.
1. Scope
These Terms apply exclusively to entrepreneurs as defined in §14 BGB. They govern the contractual relationship between nowyourlink (provider) and the user (advertiser) when using the platform for the auction-based allocation of advertising slots.
2. Conclusion of contract
The contract is concluded by acceptance of the highest bid achieved in the auction. The exact moment of award is subject to final legal review.
3. Auction model
The platform runs exactly one sealed-bid auction per slot per day with EUR 1 minimum bid and EUR 1 increment; close at 00:00 UTC; activation within 24h after payment.
The provider allocates its own advertising placements within a private bidding process (privates Bietverfahren). This does not constitute a public auction (öffentliche Versteigerung) within the meaning of statutory auction regulations.
4. Payment
Payments are processed exclusively via Stripe and are due immediately upon award. Invoices follow §14 UStG; reverse charge applies to VIES-validated EU B2B customers.
5. Liability
Provider liability is capped at order value, except for intent or gross negligence. No liability for indirect damages to the extent permitted by law.
6. Final provisions
German law applies, excluding the CISG. Place of jurisdiction is the provider's registered seat. Severability: invalid clauses do not affect the rest of the contract.
